Introduction and Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Koson PRO Corporation (“Koson”, “Company”, “we”, “our”, or “us”).

Koson PRO Corporation is a company duly incorporated under the laws of the Republic of Panama, with its registered address at:

These Terms govern your access to and use of:

  • the website operated by Koson (the “Site”)
  • any accounts made available through the Site (the “Account”)
  • the software interfaces, technical infrastructure, and related services made available through the Site (collectively, the “Services”)

By accessing or using the Site, registering an Account, or using any Services made available through the Site, you confirm that:

  1. you have read, understood, and agree to be legally bound by these Terms;
  2. you accept and agree to comply with our Privacy Policy and any other policies incorporated by reference;
  3. you have the legal capacity and authority to enter into a binding agreement under applicable law.

If you do not agree with any part of these Terms, you must not access or use the Site or the Services.

Koson operates the Site and provides technology and interface services only. Regulated financial services, where applicable, are performed exclusively by licensed third-party financial institutions and service providers operating under their own regulatory approvals and contractual terms. Such providers may include affiliated entities registered as Money Services Businesses (MSB) or other regulated entities, depending on the applicable service and jurisdiction.

Your contractual relationship under these Terms is solely with Koson PRO Corporation in its capacity as a technology service provider and website operator. Any regulated financial services accessed through the Site are subject to separate terms and conditions imposed by the relevant licensed third-party provider.

We may amend, update, or modify these Terms from time to time in accordance with the “Modification of Terms” section below. Continued use of the Site or Services after the effective date of any update constitutes acceptance of the revised Terms.

1. Corporate and Regulatory Status

1.1 Status of Koson

Koson PRO Corporation is a technology software solutions provider and website operator incorporated under the laws of the Republic of Panama.

Koson is not:

  • a bank;
  • a payment service provider;
  • an electronic money institution;
  • a card issuer;
  • a custodian of funds or digital assets;
  • a financial intermediary; or
  • a regulated financial institution in any jurisdiction.

Koson does not provide regulated financial services and does not:

  • receive, hold, safeguard, or control User funds;
  • execute, settle, or process fiat or cryptocurrency transactions;
  • issue bank accounts, IBAN accounts, electronic money, or payment cards;
  • act as a money transmitter, exchange, broker, or custodian;
  • perform regulated customer due diligence as a licensed financial institution.

Koson’s role is strictly limited to operating the Site and providing technical infrastructure, interface functionality, instruction routing, and coordination support in connection with services offered by licensed third-party providers.

Nothing in these Terms shall be interpreted as representing that Koson is subject to financial regulatory supervision applicable to banks, payment institutions, electronic money institutions, or other regulated financial entities.

1.2 Regulated Financial Services

Where financial or payment-related services are made available through the Site, such services are performed exclusively by duly licensed and authorized third-party financial institutions and service providers (the “Regulated Providers”) operating under their own regulatory approvals, internal policies, and contractual terms.

Regulated Providers may include banks, electronic money institutions, payment service providers, card issuers, exchanges, liquidity providers, or other regulated entities, depending on the applicable service and jurisdiction.

Such Regulated Providers operate independently from Koson and are solely responsible for:

  • execution and settlement of transactions;
  • custody or safeguarding of funds or digital assets (where applicable);
  • compliance with applicable financial regulations;
  • customer due diligence, anti-money laundering (AML), sanctions screening, and related regulatory obligations.

Certain Regulated Providers may be affiliated entities of Koson, including entities registered as Money Services Businesses (MSB) or other regulated entities in relevant jurisdictions. The involvement of any particular Regulated Provider depends on the specific Service, User location, regulatory requirements, and operational availability.

Koson does not control or supervise the regulatory obligations of Regulated Providers and is not responsible for their acts, omissions, decisions, or compliance determinations.

Any regulated financial services accessed through the Site are subject to the separate terms and conditions of the relevant Regulated Provider, which may apply in addition to these Terms.

2. Definitions

For the purposes of these Terms of Use, the following terms shall have the meanings set out below:

“Account”
A contractual access profile created by a User through the Site after acceptance of these Terms and the applicable Privacy Policy. The Account enables the User to access the Site and submit instructions relating to Services made available through the Site.

“Affiliate”
Any entity that directly or indirectly controls, is controlled by, or is under common control with Koson PRO Corporation, including entities registered as Money Services Businesses (MSB) or other regulated entities in applicable jurisdictions.

“Fees”
Any service fees charged by Koson for access to or use of the Site and Services, as disclosed prior to confirmation of a transaction, as well as any fees imposed separately by Regulated Providers.

“Personal Data”
Any information relating to an identified or identifiable individual, including but not limited to identification data, contact details, financial information, technical identifiers, and usage data. Personal Data does not include anonymized or aggregated information that does not identify a specific individual.

“Regulated Provider”
Any duly licensed and authorized third-party financial institution or service provider that performs regulated financial services accessible through the Site, including but not limited to banks, electronic money institutions, payment service providers, card issuers, exchanges, liquidity providers, custodians, or entities registered as Money Services Businesses (MSB), operating under their own regulatory approvals and contractual terms.

“Services”
The software interfaces, technical infrastructure, data display mechanisms, communication tools, and access functionality operated by Koson that enable Users to interact with Regulated Providers. The Services do not include the execution, settlement, custody, or processing of financial transactions.

“Site”
The website operated by Koson PRO Corporation, including all subdomains, applications, dashboards, and related digital interfaces.

“Transaction”
Any instruction, request, or operation submitted by a User through the Account in connection with Services made available via the Site, including but not limited to payment instructions, exchange requests, transfers, withdrawals, or other operations executed solely by Regulated Providers.

“User”
Any individual or legal entity that accesses or uses the Site or Services, whether by registering an Account or otherwise interacting with the platform.

3. Scope of Services

Koson operates the Site as a technology platform that enables Users to access and interact with services offered by licensed Regulated Providers.

Subject to availability, jurisdictional restrictions, and applicable compliance requirements, the Services may allow Users to

  • submit instructions to initiate payments, transfers, exchanges, or other financial operations that are executed exclusively by Regulated Providers;
  • access application interfaces for financial products issued and maintained solely by Regulated Providers, including bank accounts, IBAN accounts, electronic money accounts, payment cards, or similar services;
  • submit requests relating to cryptocurrency transactions that are executed solely by authorized exchanges, liquidity providers, or other licensed entities;
  • view transaction-related information, confirmations, balances, and status updates made available by Regulated Providers;
  • access technical integrations, dashboards, APIs, or communication tools that facilitate interaction with Regulated Providers.

Koson provides technical access, interface functionality, and coordination support only. Koson does not:

  • execute, settle, or process financial transactions;
  • receive, hold, safeguard, or control fiat funds or digital assets;
  • issue or maintain financial accounts or payment instruments;
  • provide custody services for funds or cryptocurrencies;
  • determine transaction pricing, exchange rates, execution timing, or settlement finality.

All financial transactions initiated through the Site are executed and settled exclusively by the relevant Regulated Provider in accordance with its own terms, regulatory obligations, and internal policies.

Availability of specific Services may vary depending on the User’s jurisdiction, regulatory requirements, technical limitations, or decisions of Regulated Providers. Koson does not guarantee that any particular Service will be available at all times or in all jurisdictions.

Koson may modify, expand, restrict, suspend, or discontinue any aspect of the Services at its discretion where reasonably necessary for operational, technical, legal, regulatory, or contractual reasons.

Access to the Services is granted on a limited, non-exclusive, non-transferable, and revocable basis, solely for lawful use and in accordance with these Terms.

4. Flow of Funds and Execution Model

4.1 No Custody or Control of Funds

Koson does not receive, hold, safeguard, control, or transmit User funds or digital assets at any time.

All fiat currency funds related to any payment, transfer, exchange, deposit, or withdrawal made available through the Site are received, held, and processed exclusively by the relevant Regulated Provider under its own regulatory approvals and contractual terms.

Koson does not operate client accounts, pooled accounts, safeguarding accounts, or settlement accounts and does not act as an intermediary in the transfer of funds.

4.2 Execution of Transactions

All Transactions initiated by a User through the Account are transmitted to and executed solely by the applicable Regulated Provider.

Execution, settlement, pricing, exchange rates, fees imposed by Regulated Providers, confirmation timing, and transaction finality are determined exclusively by the relevant Regulated Provider and, where applicable, by external systems such as banking networks or blockchain protocols.

A Transaction shall be deemed completed only when confirmed by the relevant Regulated Provider in accordance with its internal procedures and applicable regulatory framework.

Koson does not control, influence, or guarantee:

  • execution prices;
  • exchange rates;
  • blockchain confirmation times;
  • processing times;
  • settlement outcomes; or
  • availability of liquidity.
4.3 Cryptocurrency Transactions

Where cryptocurrency-related Services are accessible through the Site, all purchase, sale, transfer, exchange, or custody functions are performed exclusively by authorized and regulated third-party exchanges, liquidity providers, custodians, or other licensed entities.

Koson does not:

  • execute cryptocurrency trades;
  • act as a broker or exchange;
  • provide custody of digital assets;
  • manage private keys; or
  • control blockchain validation processes.

Transaction completion in relation to cryptocurrency depends on confirmation by the relevant Regulated Provider and, where applicable, validation by the relevant blockchain network.

4.4 Fiat Funding and Withdrawals

Fiat deposits and withdrawals are processed exclusively through licensed banking institutions or authorized payment service providers.

Supported currencies, payment rails, processing times, limits, and fees are determined by the relevant Regulated Provider and may vary based on jurisdiction, compliance requirements, and operational conditions.

Any compliance review, transaction monitoring, blocking, delay, or rejection of a fiat transaction is performed solely by the relevant Regulated Provider in accordance with its regulatory obligations.

4.5 Responsibility Allocation

Koson’s role is limited to:

  • providing the technical interface;
  • transmitting User instructions to Regulated Providers;
  • displaying information made available by Regulated Providers; and
  • facilitating technical communication between Users and Regulated Providers where applicable.

Koson is not responsible for:

  • the execution or non-execution of Transactions;
  • safeguarding of funds or digital assets;
  • decisions made by Regulated Providers regarding compliance, sanctions, or eligibility;
  • delays, reversals, rejections, or blocking of Transactions;
  • insolvency, operational failure, or regulatory actions affecting any Regulated Provider.

Any claims relating to the execution, settlement, custody, or regulatory handling of funds must be directed to the relevant Regulated Provider in accordance with its applicable terms.

5. Regulated Providers and Third-Party Services

5.1 Independent Status of Regulated Providers

All regulated financial services made available through the Site are performed exclusively by independent Regulated Providers operating under their own licenses, regulatory approvals, and internal compliance frameworks.

Regulated Providers operate independently from Koson and are solely responsible for:

  • execution and settlement of transactions;
  • safeguarding or custody of funds or digital assets (where applicable);
  • compliance with applicable financial regulations;
  • customer due diligence, AML, sanctions screening, and transaction monitoring;
  • approval, rejection, suspension, or restriction of accounts or transactions.

Koson does not control, manage, supervise, or direct the internal operations, compliance determinations, or regulatory decisions of any Regulated Provider.

5.2 Separate Contractual Relationships

Where a User accesses regulated financial services through the Site, the User may enter into a separate contractual relationship directly with the relevant Regulated Provider.

Such relationship is governed by the Regulated Provider’s own terms and conditions, privacy policies, regulatory disclosures, and applicable laws.

Koson is not a party to any agreement between the User and a Regulated Provider and assumes no responsibility for the performance of obligations under such agreements.

5.3 Disclosure of Regulated Providers

The identity, jurisdiction, and regulatory status of Regulated Providers may vary depending on:

  • the type of Service;
  • the User’s location;
  • applicable legal and regulatory requirements; and
  • operational availability.

Information regarding Regulated Providers may be disclosed through the Site where required by applicable law or regulatory obligation.

Koson does not undertake to disclose the identity of specific Regulated Providers involved in individual Transactions unless such disclosure is legally required.

5.4 Changes to Regulated Providers

Koson may add, replace, suspend, or discontinue cooperation with any Regulated Provider at its discretion where reasonably necessary to:

  • ● maintain operational functionality;
  • ● ensure regulatory compliance;
  • ● address legal or contractual requirements;
  • ● manage risk exposure; or
  • ● improve service availability.

Any such change shall not affect the validity of these Terms.

Users acknowledge that continued access to certain Services may depend on acceptance of the applicable terms of the relevant Regulated Provider.

5.5 No Agency or Partnership

Nothing in these Terms shall be construed as creating:

  • a partnership,
  • joint venture,
  • agency relationship,
  • fiduciary relationship, or
  • employment relationship

between Koson and any Regulated Provider, or between Koson and any User in relation to regulated financial services.

Koson acts solely as a technology service provider and interface operator.

6. Account Registration and Eligibility

6.1 Eligibility

Access to certain Services may require registration of an Account.

By registering an Account or otherwise using the Site, you represent and warrant that:

  • you are at least eighteen (18) years of age or the legal age of majority in your jurisdiction;
  • you have full legal capacity and authority to enter into binding agreements;
  • if acting on behalf of a legal entity, you are duly authorized to bind such entity;
  • your access to and use of the Site and Services is permitted under the laws applicable to you;
  • you are not located in, incorporated in, or a resident of any jurisdiction subject to comprehensive sanctions or prohibitions applicable to the Services.

Koson reserves the right to restrict or deny access to the Site or Services based on jurisdictional, regulatory, contractual, or risk-based considerations.

6.2 Account Registration

To access certain Services, you may be required to create an Account and provide accurate, current, and complete information as requested.

You agree to:

  • provide truthful and accurate information during registration;
  • promptly update any information that becomes inaccurate or outdated;
  • provide additional information or documentation when reasonably requested for operational, compliance, or security purposes.

Failure to provide accurate or complete information may result in suspension or termination of your Account.

6.3 Account Security

You are solely responsible for:

  • maintaining the confidentiality of your login credentials;
  • securing your devices and authentication methods;
  • all activities conducted through your Account.

Any instruction, request, or Transaction submitted through your Account using valid credentials shall be deemed authorized by you.

Koson is not liable for any loss resulting from unauthorized access to your Account unless caused solely by Koson’s wilful misconduct.

You must notify Koson without undue delay if you become aware of:

  • unauthorized use of your Account;
  • loss or compromise of login credentials; or
  • any suspected security breach.
6.4 Prohibited Account Use

You agree not to use the Site or Services:

  • for any unlawful purpose;
  • in violation of applicable laws or regulations;
  • to engage in fraud, money laundering, terrorist financing, sanctions evasion, or other prohibited activities;
  • to interfere with or disrupt the technical infrastructure of the Site;
  • to access or attempt to access Accounts belonging to other Users.

Koson may suspend or restrict access to an Account where it reasonably believes that such Account is being used in violation of these Terms or applicable law.

6.5 Multiple Accounts

Unless expressly permitted, Users may not create or control multiple Accounts for the purpose of circumventing limits, restrictions, or compliance controls.

Koson reserves the right to suspend or consolidate multiple Accounts that appear to be operated by the same User in violation of these Terms.

7. Verification and Compliance

7.1 Verification by Regulated Providers

Access to certain Services may require completion of identity verification, customer due diligence, sanctions screening, or other compliance procedures.

Such verification procedures are performed exclusively by the relevant Regulated Providers in accordance with their own regulatory obligations, internal compliance frameworks, and applicable laws.

Koson does not perform regulated customer due diligence, anti-money laundering (AML), or sanctions screening activities as a licensed financial institution.

7.2 Role of Koson in Verification

Koson may facilitate the technical collection and transmission of information and documentation required by Regulated Providers for verification purposes.

Koson’s role in this process is strictly limited to:

  • providing secure technical interfaces for data submission;
  • transmitting User-provided information to the relevant Regulated Provider;
  • displaying verification status updates made available by the Regulated Provider.

Koson does not independently approve, reject, or make compliance determinations regarding Users.

7.3 User Obligations

You agree to:

  • provide accurate, complete, and up-to-date information when requested for verification purposes;
  • promptly supply additional documentation where required by a Regulated Provider;
  • cooperate with compliance-related inquiries initiated by a Regulated Provider.

Failure to provide requested information may result in:

  • suspension or restriction of access to certain Services;
  • delay or rejection of Transactions;
  • termination of access by the relevant Regulated Provider.

Such decisions are made solely by the relevant Regulated Provider.

7.4 Compliance-Related Restrictions

Regulated Providers may, in accordance with their legal obligations:

  • block, delay, or reject Transactions;
  • freeze or restrict access to financial accounts;
  • request additional information or documentation;
  • terminate services.

Koson does not control such decisions and is not responsible for any compliance-related actions taken by Regulated Providers.

7.5 Monitoring and Risk Controls

Koson may implement technical monitoring tools designed to:

  • protect the integrity of the Site;
  • detect technical misuse or abuse;
  • support coordination with Regulated Providers.

Such monitoring does not constitute regulated financial transaction monitoring and does not replace compliance determinations made by Regulated Providers.

8. Fees and Pricing

8.1 Pricing Transparency

Where applicable, any fees, commissions, spreads, or other charges associated with a Service will be reflected in the total price or amount displayed to the User prior to submission of a Transaction.

The total amount presented before confirmation represents the full amount payable or receivable in connection with the relevant Transaction, based on information made available through the Site at that time.

8.2 Inclusion of Third-Party Costs

Financial services made available through the Site are performed by Regulated Providers.

Any costs, commissions, spreads, or network charges imposed by Regulated Providers may be incorporated into the total price or exchange rate displayed to the User prior to confirmation.

Koson does not apply additional undisclosed charges beyond the total amount presented for confirmation.

8.3 Exchange Rates and Market Pricing

Where currency conversion or cryptocurrency transactions are available, displayed exchange rates or pricing may reflect market conditions, liquidity considerations, and costs associated with execution by Regulated Providers.

All pricing information is presented prior to submission of a Transaction. By confirming a Transaction, the User agrees to the total amount displayed at that time.

8.4 Future Fees

Koson reserves the right to introduce or modify its own service fees in the future, subject to appropriate notice and prior disclosure through the Site.

Any such fees, if introduced, will be clearly disclosed before a User confirms a Transaction.

9. Risk Disclosure

9.1 General Risk Acknowledgment

Use of the Site and access to Services involving financial transactions carry inherent risks.

By using the Site and Services, you acknowledge that financial transactions may be affected by market conditions, technical factors, regulatory requirements, and actions taken by Regulated Providers.

Koson does not guarantee specific financial outcomes, transaction timing, or uninterrupted service availability.

9.2 Market and Pricing Risk

Exchange rates, pricing, and settlement amounts may fluctuate due to market conditions, liquidity, and execution timing determined by the relevant Regulated Provider.

The final transaction amount is determined at the time of execution by the applicable Regulated Provider.

Koson does not control or guarantee execution pricing, spreads, or market availability.

9.3 Technology and Network Risks

Transactions may rely on external systems, including banking networks, payment rails, or distributed ledger technologies.

Such systems may experience delays, congestion, interruptions, or technical failures.

Where digital assets or blockchain-based transfers are used as part of a transaction flow, confirmation timing and finality depend on the relevant network protocols and the Regulated Provider executing the transaction.

Koson does not control external financial networks or distributed systems and is not responsible for their performance.

9.4 Regulatory and Compliance Risks

Regulated Providers may delay, block, reject, or reverse transactions where required to comply with applicable laws, sanctions regimes, regulatory obligations, or internal compliance policies.

Changes in law or regulatory interpretation may affect the availability of certain Services in specific jurisdictions.

Koson is not responsible for compliance-related decisions taken by Regulated Providers.

9.5 No Financial Advice

Koson does not provide investment, financial, tax, or legal advice.

Any information made available through the Site is provided for general informational purposes only.

Users are solely responsible for assessing the suitability of any transaction or financial activity.

10. User Responsibilities

10.1 Lawful Use

You agree to use the Site and Services solely for lawful purposes and in compliance with all applicable laws and regulations.

You must not use the Site or Services to:

  • engage in fraud, money laundering, terrorist financing, sanctions evasion, or any unlawful activity;
  • transmit false, misleading, or fraudulent information;
  • attempt to manipulate pricing, technical systems, or transaction flows;
  • interfere with or disrupt the operation, integrity, or security of the Site;
  • access or attempt to access accounts, systems, or data that do not belong to you.
10.2 Accuracy of Information

You are responsible for ensuring that all information provided through the Site, including transaction details and recipient information, is accurate and complete.

Koson is not responsible for losses resulting from incorrect:

  • recipient details;
  • account numbers;
  • wallet addresses;
  • network selections;
  • transaction amounts; or
  • other user-provided inputs.

Transactions executed by Regulated Providers may be irreversible once processed.

10.3 Account Security

You are responsible for maintaining the confidentiality and security of your Account credentials and authentication methods.

Any action performed using valid Account credentials shall be deemed authorized by you.

You must immediately notify Koson if you suspect unauthorized access to your Account.

10.4 Compliance Cooperation

You agree to cooperate with reasonable requests for information required by Regulated Providers in connection with compliance, verification, or security procedures.

Failure to cooperate may result in restriction or suspension of access to certain Services.

10.5 Technical Use Restrictions

You must not:

  • reverse engineer, decompile, or attempt to extract source code from the Site;
  • use automated systems, bots, or scraping tools in a manner that disrupts the Site;
  • introduce malicious code or attempt to compromise system integrity;
  • bypass technical controls or security mechanisms.

Koson reserves the right to restrict or suspend access where it reasonably believes that the Site is being misused.

10.6 Independent Assessment

You are solely responsible for assessing the suitability of any transaction or financial activity accessed through the Site.

Koson does not monitor the appropriateness of transactions for individual Users.

11. Limitation of Liability

11.1 Scope of Liability

To the maximum extent permitted by applicable law, Koson shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:

  • loss of profit;
  • loss of revenue;
  • loss of business opportunity;
  • loss of data;
  • reputational harm; or
  • any similar economic loss,

arising out of or in connection with the use of the Site or Services.

11.2 Third-Party Responsibility

Koson shall not be liable for any losses, damages, delays, or claims arising from:

  • acts, omissions, or decisions of Regulated Providers;
  • execution, settlement, rejection, blocking, or reversal of Transactions by Regulated Providers;
  • safeguarding, custody, or loss of funds or digital assets held by Regulated Providers;
  • insolvency, regulatory action, suspension, or operational failure of any Regulated Provider;
  • compliance-related restrictions imposed by Regulated Providers.

Any claim relating to regulated financial services must be addressed to the relevant Regulated Provider in accordance with its applicable terms.

11.3 Market and External Systems

Koson shall not be liable for losses resulting from:

  • market volatility or price fluctuations;
  • changes in exchange rates;
  • liquidity shortages;
  • delays or failures of banking networks, payment systems, or blockchain networks;
  • force majeure events or circumstances beyond Koson’s reasonable control.
11.4 Technical Availability

The Site and Services are provided on an “as is” and “as available” basis.

Koson does not guarantee uninterrupted, error-free, or continuous availability of the Site.

Koson shall not be liable for losses resulting from temporary unavailability, maintenance, system interruptions, or cybersecurity incidents, except where caused solely by Koson’s wilful misconduct.

11.5 Liability Cap

To the maximum extent permitted by applicable law, Koson’s total aggregate liability arising out of or in connection with these Terms shall not exceed the total amount of service fees actually paid by the User to Koson during the twelve (12) months preceding the event giving rise to the claim.

If no service fees have been paid by the User to Koson during such period, Koson’s aggregate liability shall be limited to a reasonable amount reflecting direct and proven damages, subject to applicable law.

11.6 Non-Excludable Liability

Nothing in these Terms excludes or limits liability for:

  • fraud;
  • wilful misconduct;
  • death or personal injury caused by negligence; or
  • any liability that cannot be excluded or limited under applicable law.

12. Indemnification

12.1 User Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Koson PRO Corporation, its directors, officers, employees, contractors, and authorized representatives from and against any claims, demands, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • your use of the Site or Services;
  • your breach of these Terms;
  • your violation of any applicable law or regulation;
  • inaccurate, misleading, or fraudulent information provided by you;
  • misuse of the Site, including unlawful, abusive, or unauthorized activity;
  • disputes between you and any Regulated Provider.
12.2 Third-Party Claims

This indemnification obligation applies to claims brought by:

  • Regulated Providers;
  • financial institutions;
  • payment networks;
  • governmental or regulatory authorities;

to the extent such claims arise from your actions, omissions, or violations of these Terms.

12.3 Limitation

The indemnification obligation does not apply to the extent that a claim arises solely from Koson’s fraud or wilful misconduct.

Koson reserves the right to assume control of the defense of any claim subject to indemnification, at your expense, where reasonably necessary.

13. Suspension and Termination

13.1 Suspension by Koson

Koson may suspend, restrict, or terminate access to the Site or Services, in whole or in part, with or without prior notice, where reasonably necessary to:

  • enforce these Terms;
  • address security, technical, or operational risks;
  • investigate suspected unlawful or abusive activity;
  • comply with applicable law, regulatory obligations, or requests from competent authorities;
  • comply with contractual or compliance requirements imposed by Regulated Providers;
  • mitigate legal, financial, or reputational risk.

Koson shall not be liable for any loss arising from such suspension or restriction, except where caused solely by Koson’s wilful misconduct.

13.2 Suspension by Regulated Providers

Access to specific financial services may be suspended, restricted, or terminated by the relevant Regulated Provider in accordance with its own terms and regulatory obligations.

Koson does not control such decisions and is not responsible for any resulting limitations, delays, or account restrictions imposed by Regulated Providers.

13.3 User-Initiated Termination

You may discontinue use of the Site at any time by ceasing access.

Termination of access to the Site does not affect:

  • any obligations arising prior to termination;
  • any rights of Regulated Providers under their own terms;
  • compliance-related retention or reporting obligations.
13.4 Effects of Termination

Upon suspension or termination:

  • your right to access and use the Site and Services shall immediately cease;
  • Koson may deactivate or restrict your Account;
  • ongoing Transactions may be completed, delayed, or handled in accordance with the policies of the relevant Regulated Provider.

Koson shall not be responsible for actions taken by Regulated Providers following suspension or termination of access.

13.5 Survival

Provisions relating to limitation of liability, indemnification, governing law, dispute resolution, data protection, and any other provisions which by their nature should survive termination shall remain in full force and effect.

14. Data Protection

14.1 Privacy Policy

Koson processes Personal Data in connection with the operation of the Site and provision of the Services.

Details regarding the collection, use, storage, and disclosure of Personal Data are set out in the Privacy Policy, which forms an integral part of these Terms.

By using the Site and Services, you acknowledge that you have read and understood the Privacy Policy.

14.2 Role of Koson

Koson acts as a data controller in respect of Personal Data processed for the purposes of:

  • operating and maintaining the Site;
  • managing User Accounts;
  • providing technical interface functionality;
  • ensuring security and integrity of the platform;
  • communicating with Users.

Koson does not act as a financial institution or regulated entity in relation to financial transaction data processed by Regulated Providers.

14.3 Role of Regulated Providers

Regulated Providers process Personal Data independently in accordance with:

  • their own privacy policies;
  • applicable financial regulations;
  • anti-money laundering and compliance obligations;
  • local data protection laws.

In connection with regulated financial services, Regulated Providers may act as independent data controllers.

Koson does not control and is not responsible for how Regulated Providers process Personal Data within the scope of their regulated activities.

14.4 Data Sharing

Personal Data may be shared with Regulated Providers where necessary to:

  • enable provision of requested Services;
  • facilitate verification procedures;
  • comply with legal or regulatory requirements;
  • protect against fraud or security risks.

Any such sharing is limited to what is reasonably necessary for the relevant purpose.

14.5 Cross-Border Transfers

Personal Data may be transferred to and processed in jurisdictions outside your country of residence where Regulated Providers or technical service providers operate.

Such transfers are conducted in accordance with applicable data protection laws and appropriate safeguards where required.

14.6 Disclosures to Authorities

Koson may disclose Personal Data to competent authorities where required by applicable law, legal process, or regulatory obligation.

Koson may also disclose information where reasonably necessary to:

  • protect the rights, safety, or security of Users or third parties;
  • investigate suspected unlawful activity;
  • enforce these Terms.

15. Regulatory Disclosure

15.1 Status of Koson

Koson PRO Corporation is a technology software solutions provider incorporated under the laws of the Republic of Panama.

Koson is not licensed or regulated as a bank, payment institution, electronic money institution, card issuer, custodian, or financial intermediary in any jurisdiction.

Koson does not provide regulated financial services and does not perform regulated money transmission, custody, or payment processing activities.

15.2 Regulated Financial Services

Where financial or payment-related services are made available through the Site, such services are performed exclusively by duly licensed and authorized Regulated Providers operating under their own regulatory approvals and legal frameworks.

Regulated Providers may include independent third-party financial institutions as well as affiliated entities that hold applicable regulatory registrations in relevant jurisdictions.

The involvement of any particular Regulated Provider depends on

  • the type of Service;
  • the User’s jurisdiction;
  • regulatory requirements; and
  • operational availability.
15.3 No Regulatory Representation

Nothing in these Terms or on the Site shall be construed as representing that Koson itself is subject to financial regulatory supervision applicable to banks, money services businesses, payment institutions, or similar regulated entities.

Any reference to regulatory registrations held by affiliated entities is provided for informational purposes only and does not imply that Koson itself is a licensed financial institution.

15.4 Separate Regulatory Obligations

Each Regulated Provider is solely responsible for compliance with its own regulatory obligations, reporting requirements, and supervisory framework.

Koson does not assume responsibility for regulatory filings, transaction reporting, safeguarding obligations, or supervisory requirements applicable to any Regulated Provider.

16. Governing Law and Jurisdiction

16.1 Governing Law

These Terms of Use and any dispute, claim, or controversy arising out of or in connection with the Site or Services shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles.

16.2 Jurisdiction

Subject to mandatory provisions of applicable law, any dispute arising out of or relating to these Terms, the Site, or the Services shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Panama.

16.3 Mandatory Consumer Rights

Nothing in this Section shall deprive a User of any mandatory rights granted under applicable consumer protection laws that cannot be contractually waived.

17. Force Majeure

Koson shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control.

Such events may include, without limitation:

  • natural disasters or extreme weather events;
  • armed conflict, civil unrest, or terrorism;
  • governmental actions, regulatory measures, or changes in applicable law;
  • sanctions or restrictive measures;
  • widespread cyber incidents or internet infrastructure disruptions;
  • failures of telecommunications networks;
  • banking system outages;
  • failures, suspension, or actions of Regulated Providers;
  • labor disruptions;
  • power or infrastructure failures; or
  • other circumstances beyond Koson’s reasonable control.

Koson’s obligations shall be suspended to the extent and for the duration that performance is prevented or materially impaired by such events.

Koson will use commercially reasonable efforts to resume normal operations as soon as practicable following the cessation of the relevant event.

18. Amendments to Terms

Koson may amend, update, or modify these Terms from time to time to reflect:

  • changes in the Services;
  • operational or technical updates;
  • changes in applicable laws or regulatory requirements;
  • changes in cooperation with Regulated Providers; or
  • other legitimate business needs.

Where changes are material, Koson will make reasonable efforts to provide notice through the Site or other appropriate communication channels prior to the effective date of the updated Terms.

The updated Terms shall become effective on the date indicated in the revised version.

Your continued access to or use of the Site or Services after the effective date constitutes your acceptance of the updated Terms.

If you do not agree with the updated Terms, you must discontinue use of the Site and Services.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Koson regarding access to and use of the Site and Services and supersede any prior agreements, understandings, or communications relating thereto.

19.2 Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

19.3 No Waiver

Failure or delay by Koson to exercise any right or enforce any provision under these Terms shall not constitute a waiver of such right or provision.

Any waiver must be expressly stated in writing.

19.4 Assignment

Koson may assign, transfer, or novate its rights and obligations under these Terms to an Affiliate or successor entity in connection with a corporate restructuring, merger, acquisition, or transfer of business operations.

You may not assign or transfer your rights or obligations under these Terms without prior written consent of Koson.

19.5 Electronic Communications

You agree that communications between you and Koson may be conducted electronically, including through the Site or by email, and that such communications satisfy any legal requirement that communications be in writing, unless mandatory law provides otherwise.
